Senior Counsel – Corporate

As Senior Counsel – Corporate, you will lead DataRobot’s corporate-legal function and manage corporate governance, corporate transactions, international entity structure, and global equity programs, as well as employment policies and employment matters. You will partner with cross-functional teams, including Finance, Accounting, HR, Tax, and Corporate Strategy, to provide practical legal solutions that support DataRobot’s business objectives while mitigating risk. This role is an opportunity to take on a high degree of responsibility and manage an important legal function while working directly with the Company’s CFO, CLO, Chief People Officer, and other executive roles.

Key Responsibilities:

  • Manage corporate governance and international corporate structure.
  • Lead board and committee governance, including preparation of materials and corporate records.
  • Support M&A transactions, financing activities, and strategic partnerships, including due diligence and contract negotiations.
  • Support management and implementation of global employee equity programs.
  • Ensure compliance with corporate policies and industry regulations.
  • Advise HR and leadership on employment law matters, including hiring, compensation, benefits, employee relations, and terminations.
  • Develop and maintain employment policies and handbooks to align with federal, state, and international labor laws.
  • Manage employment-related disputes, claims, and litigation in collaboration with outside counsel.

Knowledge, Skills, and Abilities:

  • Juris Doctor (J.D.) from an accredited law school; active bar membership in good standing.
  • 7+ years of experience in corporate and employment law, preferably in-house at a technology or AI-driven company or at a leading law firm.
  • Expertise in corporate governance, securities law, and employment regulations (U.S. and international preferred).
  • Experience handling employment-related disputes, investigations, and compliance matters.
  • Ability to work in a fast-paced, high-growth environment with strong business acumen.
  • Excellent negotiation, drafting, and communication skills.
  • Ability to collaborate cross-functionally and influence decision-making at all levels.
